Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Zirahn, Inc.’s (“Zirahn”) website, AgentGovern platform, and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing zirahn.com or using any Zirahn service, you confirm that you are at least 18 years old, have the authority to bind your organization to these Terms, and agree to comply with them.

2. Description of Services

AgentGovern is a compliance-as-code platform that:

• Instruments AI agent pipelines via SDK integration
• Evaluates agent actions against regulatory frameworks (EU AI Act, NIST AI RMF, SEC, OCC, and others)
• Generates audit-ready compliance evidence and reports
• Provides real-time drift detection and policy enforcement

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to store or transmit malicious code
• Resell or sublicense the Services without our written consent
• Use automated tools to scrape or bulk-download content

5. Intellectual Property

Zirahn and its licensors retain all intellectual property rights in the Services, including all software, documentation, and content. The AgentGovern open-source SDK is licensed separately under the terms of its open-source license (see GitHub repository).

Your data remains your property. You grant Zirahn a limited license to process your data solely to provide the Services.

6. Subscription and Payment

Pricing

Current pricing is available at zirahn.com/#pricing. Prices are in USD and exclude applicable taxes.

Payment

Professional and Enterprise plans require a payment method on file. Fees are billed monthly or annually as selected.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

7. Confidentiality

Each party agrees to keep the other’s confidential information confidential and not to disclose it to third parties without consent. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Data Processing

Zirahn processes data from your AI agents solely to provide the Services. We act as a data processor under applicable privacy laws. A Data Processing Agreement (DPA) is available upon request for Professional and Enterprise customers.

9. AI Act Compliance Disclaimer

AgentGovern is designed to help organizations achieve compliance with the EU AI Act and other AI regulations. However, Zirahn does not provide legal advice. Compliance determinations are the sole responsibility of the customer. We recommend consulting qualified legal counsel for regulatory compliance matters.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIRAHN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

12. Indemnification

You agree to indemnify and hold harmless Zirahn and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days’ notice for material changes. Continued use of the Services after changes take effect constitutes acceptance of the new Terms.
